THE BOARD OF DIRECTORS

EDUARDO OZAÍTA VEGA (Controlling-shareholder)

Member of the Board of Directors of Atom Hoteles Socimi S.A.

Eduardo Ozaíta Vega has developed his entire professional career at Bankinter, where he began working in 1988 as a Risk Analyst for Large Clients. After successive promotions through a variety of positions of responsibility, in 2001, he took over the management of the Corporate Banking division. In 2006, already as the Deputy General Manager, he became the Director of the Andalusian region, and after four years, in December 2010, he was the head of the General Directorate for Business Banking and International Business, becoming part of the Management Committee. Since January 1, 2018, he is the General Director of Commercial Banking.

Mr. Eduardo Ozaíta Vega has an undergraduate double degree in Business administration, Management and Law from the Comillas Pontifical University (ICADE-E3), a Master’s Degree in Financial Management from the Centre for Financial Studies in Madrid, and an Advanced Management Program (AMP) from The Wharton School of the University of Pennsylvania.

JAIME IÑIGO GUERRA AZCONA (Controlling-shareholder)

Jaime Íñigo Guerra Azcona is currently the General Director of Bankinter (Director of Investment Banking), a position he has held since 2013. Between 2004 and 2013, he held the position of General Secretary of Bankinter (Legal Area, Fiscal Area and Area of Regulatory and Corporate Compliance). Previously, he served as Secretary of the Board and Director of Legal Services at the Instituto de Crédito Oficial (ICO). In addition, Mr. Jaime Íñigo Guerra Azcona is a State Attorney on a leave of absence since 2002.

Jaime Íñigo Guerra Azcona has an undergraduate double degree in Business administration, Management and Law from the Comillas Pontifical University (ICADE-E3) and a Program for Leadership Development (PLD) from the Harvard Business School.

VÍCTOR MARTÍ GILABERT (Controlling-shareholder)

Member of the Board of Directors of Atom Hoteles Socimi S.A.

Over the last 18 years, he has been linked to Horwath HTL as the Managing Partner of the offices in Spain, Andorra, Portugal, and the United Kingdom. He was also a member of the International Board of Horwath HTL representing Europe, the Middle East and Africa (EMEA). In 2006, he received recognition from Crowe Horwath International for the exceptional growth achieved by Horwath HTL Spain.

He began his professional career in the family business environment of the tourism sector, which allowed him to know the hotel, leisure and catering sector at all levels. In his more than 25 years of professional experience, he has worked in different areas of the business and through every cycle of a project: from expansion to operation.

He studied Tourism and graduated in Executive Business Management from IESE (University of Navarra−Harvard University), as well as in Theme Parks Management from Cornell University-New York.

ESTHER COLOM GARCÍA (Controlling-shareholder)

In charge of providing legal advice. She has more than 15 years of experience as a real estate attorney, having worked for more than six years as a Senior Legal Counsel at an IBEX-35 company Metrovacesa, S.A. (now called Merlin Properties Socimi, S.A.) and being involved, inter alia, in its financial restructuring and myriads of asset investment/divestment operations at the national & international level.

Prior to this, she worked at Altamira Santander Real Estate, S.A. playing a key part in the purchase processes of large real estate portfolios.

She has a PhD in Public & EU Law from the San Pablo CEU University. She is a member of WIRES association (Women in Real Estate) and participates as a speaker at panel discussions & presentations in our sector.

ANTONIO RIESTRA PITA (Independent)

Member of the Board of Directors of Atom Hoteles Socimi S.A.

Antonio Riestra Pita began his professional career in the year 1977 in Uralita (Grupo March). Between 1985 and 2002, he was the General Director of Uralita Internacional, S.A. (international trade, trading, project finance), and from 1995 to 2000, was the General Director of Urariego, S.A. (industrial sector & irrigation projects). From 2002 to 2012, he carried out his duties as an Urban Planning Consultant (land) in Coindeco, S.L. Subsequently, he was an Urban & Estate Consultant (AR&P advisors) between the years 2012 and 2014, and since 2011, the President of the family business José Arechabala Intl. Ltd. (Vaduz) (industry distiller and producer of sugar in Cuba since 1878).

Mr. Antonio Riestra Pita is a civil engineer of roads, canals, & ports (1975) from the School of Roads of Madrid, and has a postgraduate course in financing construction companies (Juan Miguel Villar Mir). He also completed that IESE General Management Program (GMP) (1987-1988) in Madrid.

IGNACIO DÍAZ LÓPEZ (Independent)

Member of the Board of Directors of Atom Hoteles Socimi S.A.

He began his professional career as an auditor at Arthur Andersen, where for three years he specialised in the financial sector to make the leap, in 1991, to the Oasis group as the Finance Director. Later, he founded ADM S.L, where he administered the finances and management of several clients and developed consulting projects.

In 2006, the NH Hotel Group appointed him as their Internal Audit Manager (2006-2013) where he acquired vast experience in the hotel sector.

Currently, he is the administrator, founder, and CEO of a hotel hospitality services company. He is also a permanent collaborator in a broad range of corporate areas and is adept at business expansions.

He graduated in Business Administration & Economics (Universidad Autónoma, Madrid) and is a member of the Official Register of Auditors (ROAC).

INVESTMENT COMMITTEE

JOSEP SALA RADUÀ

Josep Sala Raduà is an investment specialist in the areas of CAPEX, refurbishments and construction works at Global Myner Advisors (GMA). He read Business Administration & Management at the Chemical Institute of Sarrià (IQS), and also graduated from the Autonomous University of Barcelona with a double degree. His academic rigours have honed him into an extraordinary working professional with versatility in a wide range of projects. He began his career as an analyst at HorwathHTL, working on several key projects in Asset Management. In 2015, he joined GMA, where he oversaw the refurbishment of 2,500 rooms and a budget of more than €42m in 6 months. During 2016 and 2017, he co-ordinated the CAPEX plans and investments in the refurbishment of several hotel portfolios amounting to a value of €400 million. In February 2017, he was also appointed as the manager of one of the subsidiaries of the GMA group that specialises in the provision of Asset Management services to hotel portfolios.

PEDRO SAGÜÉS GONZÁLEZ-ESTRADA

Pedro Sagüés González-Estrada is the current Managing Director and Head of Alternative Investment Funds of the Investment Banking Division at Bankinter. He has 20 years of experience in investment banking, throughout which he has been responsible for Mergers & Acquisitions at Bankinter (2011-2016), Director of Corporate Finance at Financial Partners (2008-2011) and Espírito Santo Investment (2005-2011), Manager of Corporate Development & Investor Relations of Telefónica New Media – Antena 3 TV (2001-2005) and Citigroup Corporate Finance Analyst (1998-2001).

Comillas Pontifical University (ICADE) and has an Executive MBA from the IE Business School.

ARÁNTZAZU SÁNCHEZ JANÁRIZ

Arántzazu Sánchez Janáriz is Director of the Real Estate Assets at Bankinter, in charge of the divestment of the bank’s foreclosed assets, among others. She has more than 20 years of experience in the real estate sector, throughout which, she has held several positions of senior management, among others the Directorate of Legal Advice for the south zone at Ferrovial Real Estate (1998-2001), Director of Legal Advice and member Board of Directors at the Kingdom of Don Quixote, Manager of Central Region at Acciona Real Estate (2004-2009), and Management of central territory at Banco Santander-Altamira (2009-2015), managing a portfolio of €2.2 billion.

Arántzazu Sánchez Janáriz has an undergraduate degree in Law and a master’s degree in Urban Planning, both from the Autonomous University of Madrid.

MEMORANDUM OF ASSOCIATION

The memorandum of association of Atom Hoteles Socimi, S.A. are notarised on 30th January, 2018 through a public deed issued by the Notary Public of Madrid, Jesús María Ortega Fernández with protocol number 186 and duly registered in the Commercial Registry of Madrid in Volume 36,948, folio 196, Section 8, Sheet M- 660758, 3rd registration entry:

Article 2.

Constitutes the company purpose of ATOM HOTELES SOCIMI, S.A.

a.

The acquisition and development of urban real estate for lease. The development activity includes the refurbishment of buildings under the terms established in the Value Added Tax Law 37/1992, of December 28.

b.

Holding of shares in other listed SOCIMls (Spanish REITs) and in entities not resident in Spain, which have the same company purpose and are subject to a similar tax regime as the one established for the SOCIMls in terms of the mandatory, legal or statutory policy for the distribution of profits.

c.

Holding of shares in other entities, whether resident in Spain or otherwise, whose main company purpose is the acquisition of urban real estate for lease and are subject to the same tax regime established for SOCIMIs in terms of the mandatory policy for the distribution of profits, pursuant to the law or by-laws, and meet the investment requirements referred to in Article 3 of the SOCIMIs Law.

d.

The holding of shares in real estate collective investment undertakings, regulated by the Value Added Tax Law 35/2003 of November 4 of Collective Investment Undertaking or equivalent legal provision which replaces it in the future.
